Exhibitor Terms and Conditions

Summit Date: March 21-23, 2010

Location: Buffalo Thunder Resort Santa Fe, New Mexico

This application for sponsorship at the Global New Energy Summit (herinafter referred to as GNES) will become a binding contract with Rock Mountain Technology Alliance (hereinafter referred to as RMTA) when a completed application is received by RMTA and regardless of when payment is received. This contract is based upon the terms set forth below and on the next page hereof and the rates and the rules and regulations as may be established from time to time and updated and amended all of which constitute a part of this contract.

1. EXHIBIT SPACE RENTAL FEE: The rental fee for exhibit space at The Global New Energy Summit, Buffalo Thunder Resort, Santa Fe, New Mexico is FIFTEEN HUNDRED ($1,500.00) dollars per booth unit (8’ X 10’). All exhibit spaces include: One (1) 8’ x10’ Table; One (1) white table cloth: Two (2) Chairs; Wastebasket; Quarter page Company profile in the Event conference program.

2. PAYMENT TERMS: Exhibitors : One hundred percent (100%) of the exhibit space rental or fee must be received by the RMTA upon invoice, or sent to Rocky Mountain Technology Alliance upon reservation of space/GNES sponsorship.

3. PAYMENT: Please make checks payable to RMTA and mail or overnight to: Dave Blivin , GNES, 228 Griffin Street, Santa Fe, NM 87501.

4. ASSIGNMENT OF EXHIBIT SPACE: The Exhibit Space Application will be accepted when the contract is signed by RMTA and exhibit space is assigned. A copy of the signed contract will be returned to Exhibitor. Assignment of exhibit space locations is on a “first-come/ first-served” basis. Location assignments will be made solely at the discretion of RMTA.

5. LOCATION OF EXHIBITS: The Conference and Exhibition will be held at Buffalo Thunder Resort & Casino, Santa Fe, NM. All measurements and exhibit space are as accurate as possible, but RMTA reserves the right to make such modifications and change exhibit space assignments as may be necessary to adjust each floor plan at any time to meet the needs of RMTA, Exhibitors and exhibits.

6. EXHIBITOR REGISTRATION: Exhibitor representatives are restricted to personnel engaged in the display, demonstration, application or sale of the company’s product or services. Booth personnel shall wear “Exhibitor” badge identification furnished by RMTA at all times while they are in the exhibit area. All other employees of exhibiting companies must register as Summit Attendees. One (1) complimentary summit registration provided for each 8’ x 10’ exhibit space. RMTA reserves the right to restrict or limit the number of booth representatives.

7. EXHIBIT SPACE EQUIPMENT AND SERVICE INFORMATION: Exhibitor agrees to be bound by the rules and regulations as may be established from time to time by RMTA and as set forth, and to abide by all applicable rules as set forth in the contracts of labor unions whose jurisdictions apply to this exhibition in this facility. A standard turn-key exhibit booth package will be provided with all items listed on page 1, provided the Exhibitor submits necessary forms within the specified time. Exhibitor may not at any time reconfigure their assigned booth space without the express written consent . All exhibits must maintain a professional appearance at all times. If for any reason an Exhibitor’s materials fail to arrive by established deadline, Exhibitor shall pay the cost of decorating the ordered exhibit space in such a manner as deemed appropriate by RMTA. Materials received after established deadline will be accepted at the discretion of RMTA. Movement of said materials may be restricted. RMTA maintains no responsibility for said materials.

8. INSTALLATION AND REMOVAL TIMES: Move in: Sunday, March 21, 2010 2:00pm to 6:00pm
Move out: Tuesday, March 23, 2010 1:00pm

9. EXHIBIT HOURS: The Exhibition will be held and staffed with the appropriate Exhibitor’s personnel in accordance with the following schedule: Monday, March 22, 2010: 7:30am-8:30am, 5:30pm-7:30pm
Tuesday, March 24, 2010: 7:30am-8:30am, 11:30am-1:00pm

10. CANCELLATION & REDUCTION:
(a) In the event the Exhibitor is unable to occupy and use the exhibit space or reduces the space contracted for, Exhibitor must present letter of cancellation on Company letterhead to RMTA. T. The full contract price is due, payable and non-refundable. The exhibitor agrees that this is a binding contract for reserving exhibit space and that sums payable to Exhibitor hereunder shall be retained or received by RMTA as liquidated damages (“Cancellation Fee”) and not as penalty.
(b) If exhibit space is not occupied by the Exhibitor by established time, Exhibitor shall be deemed to have cancelled the exhibit space contracted for, and RMTA shall have the right to use such space as it deems appropriate, and the Exhibitor shall pay RMTA all amounts that would have been due under the terms of subparagraph (a) above, if Exhibitor had cancelled this contract.
(c) If Exhibitor does not make full payment of any exhibit fee when due under the terms of this contract, RMTA may terminate this contract, and the Exhibitor shall be responsible for payment to RMTA of all amounts that would have been due RMTA under the terms of subparagraph (a) above, if Exhibitor had cancelled this contract as of the date of such default.
(d) Except as Exhibitor’s rental obligation may be reduced in accordance with the terms set forth in subparagraph
(a) above, the exhibitor shall be responsible for payment of the total exhibit space rental fee whether the conference and Exposition is cancelled, delayed, relocated, in whole or in parts, as a result of riot, strike, civil disorder, act of war, act of terrorism, act of God, Government regulation, or any other cause of any kind whatsoever not entirely within the RMTA control, as determined solely by the RMTA.

11. MERCHANDISING MAILING: The Exhibitor may develop a one-page letter announcing participation at the GNES. The letter will be mailed with a copy of the GNES brochure to up to 5,000 names on your customer/ prospect list.

12. USE OF EXHIBIT: All demonstrations or other promotional activities must be confined to the limits of the exhibit space. Sufficient space must be provided within the exhibit space for the comfort and safety of persons watching demonstrations and other promotional activities. Each Exhibitor is responsible for keeping the aisle near its space free of congestion caused by demonstrations or other promotions. All exhibit booths must be staffed during exhibit hours. RMTA reserves the right to restrict exhibits that because of noise, method of operation, materials or for any other reason become objectionable, and also to prohibit or remove any exhibit that, in the opinion of RMTA, may detract from the general character of the Exposition as a whole or consists of products or services inconsistent with the purpose of the exhibition. This reservation includes persons, things, conduct, printed matter, or anything RMTA determines is objectionable. In the event of such restriction or removal, RMTA shall not be liable for any refunds or other exhibit expenses. No animals may be displayed as a part of the exhibit, except in certain limited circumstances, with the express written consent of RMTA. SHARING SPACE: Except in certain limited circumstances, when approved by RMTA, the Exhibitor shall not assign, sublet, or share the space allotted. All booth spaces, regardless of size, shall hold only One Corporation. Parent corporations, their wholly owned subsidiaries, sister corporations, and other similar relationships are considered to be separate Corporations by RMTA. RMTA reserves the right to make exceptions to this rule in certain circumstances involving parent corporations, their wholly owned subsidiaries, and sister corporations. Exhibitors must display only the goods manufactured or dealt in by them in their regular course of business. Any firm or organization without assigned exhibit space will not be permitted to solicit business within the exhibit area.

SOUND AND MUSIC: The use of sound systems is permissible, provided that they are audible not more than 3 feet into the aisle or into neighboring spaces, and that the sound is directed in the Exhibitor’s exhibit space or vertically. RMTA shall have absolute control over the implementation of this regulation, the intent of which is that sound systems shall not be audibly objectionable to neighboring Exhibitors. RMTA is not responsible for securing appropriate BMI/ASCAP licenses. RMTA is neither liable nor obligated to obtain any of said licenses. In order to broadcast any live and/or prerecorded music, Exhibitor must contact BMI/ ASCAP directly. The licensing and fees are the sole obligation of the Exhibitor. Not to exceed 85 decibels within the booth space.

13. TAXES AND LICENSES: Exhibitor shall be responsible for obtaining any licenses, permits or approvals required under local or state law applicable to their activity at the Exposition. Exhibitor shall be responsible for obtaining any tax identification numbers and paying all taxes, license fees or other charges that shall become due to any governmental authority in connection with their activity at the Exposition.

14. EXHIBIT SAFETY: For all exhibits over 8 feet high, the Exhibitor hereby represents and warrants to RMTA that Exhibitor has taken all steps reasonably necessary in its judgment to ensure the sound engineering and structural integrity of its exhibit design and the proper construction and safety of the exhibit itself, as erected, including obtaining the certificate of a registered structural engineer if reasonably available. Exhibitor accepts responsibility for any personal or property damage that may result directly or indirectly from the collapse of its exhibit or any portion thereof or the existence of any other unsafe condition at the exhibit. Exhibitor hereby agrees to indemnify and hold harmless RMTA, the owner and manager of the exhibition facility, and others lawfully on the exhibit floor, from and against any claims, loss, liability or damage as a result of Exhibitor’s construction or maintenance of an unsafe exhibit, and Exhibitor further represents and warrants that it had obtained adequate insurance to cover its potential liability hereunder. Exhibitor will furnish RMTA with the engineering and/or insurance certificates referred to herein upon request prior to or during the Expo.

15. LIABILITY: Neither RMTA, the facility, the decorator, its employees, nor its agents or representatives, will be responsible for any injury, loss or damage that may occur to the Exhibitor or to the Exhibitor’s employees or property from any cause whatsoever. Under no circumstance will RMTA be liable for lost profits or other incidental or consequential damages. Exhibitors shall obtain, at its own expense, adequate insurance against any such injury, loss or damage. RMTA shall not be liable for failure to perform its obligations under this contract as a result of strikes, riots, or acts of God. Anyone visiting, viewing or otherwise participating in the Exhibitor’s exhibit is deemed to be the invitee or licensee of the Exhibitor, rather than the invitee or licensee of RMTA. Exhibitor agrees to abide by existing agreements and regulations covering the use of services or labor in the conference and exhibit facility. There is no other agreement or warranty between the Exhibitor and RMTA except as set forth in this document. The rights of RMTA under this contract shall not be deemed waived except as specifically stated in writing and signed by an authorized officer of RMTA. Any action that RMTA or Exhibitor may bring against the other, based upon or in any way relating to this Exhibit Space Contract or its performance, shall be brought in a federal or state court located within the Commonwealth of Massachusetts, and RMTA and Exhibitor do hereby waive all questions of personal jurisdiction or venue in order to give effect of this provision.

16. SECURITY AND INSURANCE: RMTA will provide guard service during the hours the exhibit area is closed. However, the Exhibitor is solely and fully responsible for its own exhibit materials and should insure its exhibit against loss or damage from any cause whatsoever. All property of an Exhibitor is understood to remain in its care, custody and control in transit to or from or within the confines of the Exhibit Hall.

17. CARE OF BUILDING AND EQUIPMENT: Exhibitors or agents must not injure or deface the walls or floors of the building, the exhibit spaces, or the equipment of the exhibit spaces. When such damage appears, the Exhibitor is liable to the owner of the property so damaged. All materials used in decoration must be flame proofed. Electrical wiring must conform to the National Electric Code safety rules and all other applicable rules, regulations, fire laws, electrical codes and other laws of the city in which the Exposition is located, and of any other government authority maintaining jurisdiction over the said exposition facility, which affect the installation, conduct and disassembly of the exhibit. Combustible materials or explosives are not permitted in the Buffalo Thunder Resort & Casino The Exhibitor shall also comply with all reasonable requests of officials of the Buffalo Thunder Resort & Casino and RMTAwith respect to the installation, conduct, and disassembly of its exhibit.
